These terms apply to BoxSignal.io tracker, connectivity, portal, API and support subscriptions supplied to business customers by Howat Ltd.

1. Parties and business use

BoxSignal.io is a trading style of Howat Ltd, company number 13647462, registered in England and Wales (“BoxSignal.io”, “we” or “us”). These terms apply where we supply a business customer (“Customer” or “you”). The service is not offered to consumers.

Your order confirmation identifies the number of trackers, charges, minimum term, delivery details and any installation services. If it conflicts with these terms, the order confirmation takes priority. Customer purchase terms do not apply unless we expressly accept them in writing.

2. Orders and activation

A website calculation or order request is not binding. A contract begins when we accept the order in writing after checking product availability, terrestrial network coverage and any compliance or installation requirements.

Each tracker’s subscription starts on the activation date shown in the order confirmation. Trackers are normally provisioned, assigned to the Customer account and tested before dispatch.

3. The BoxSignal.io service

The standard subscription includes:

  • one preconfigured container tracker for each active subscription;
  • managed multi-network IoT connectivity in supported countries;
  • access to the BoxSignal.io portal, location history, reports and API;
  • UK-based support during the published support hours; and
  • fault replacement cover during the minimum term, subject to section 9; and
  • a scheduled replacement after a new 12-month renewal agreement is signed.

Features, reporting intervals and retention periods are those shown in the accepted order or current service description. Moving trackers normally report every 30 minutes and stationary trackers normally report once per day. These intervals are targets rather than guaranteed delivery times.

4. Hardware, delivery and installation

Risk in a tracker passes on delivery. Title remains with Howat Ltd until all charges due for that tracker’s minimum term have been paid, or an applicable early-termination fee and other outstanding sums have been paid, after which title passes to the Customer without a separate hardware charge.

The Customer must follow the installation guide, use suitable fixings, preserve the container’s weather protection and place the solar surface where it can receive daylight. Unless expressly agreed, we do not certify the structural condition of a container or the Customer’s installation work.

5. Coverage and location limitations

BoxSignal.io uses terrestrial cellular networks. It is not a satellite or maritime tracking service and should not be expected to report while at sea, inside radio-shielding structures, below deck or where a supported network is unavailable.

Coverage depends on local operators, roaming permissions, radio conditions, regulation and third-party network availability. A tracker may store positions and upload them later when service returns. GNSS positions and timestamps can be delayed or imprecise and must not be used for safety-critical navigation, emergency response or proof of legal custody.

6. Customer responsibilities

The Customer will:

  • provide accurate account, delivery, container and contact information;
  • obtain permission to install and monitor each container;
  • use the service lawfully and keep account and API credentials secure;
  • inspect installations and avoid obscuring, modifying or opening trackers;
  • tell us promptly about loss, damage, suspected misuse or a security incident; and
  • maintain its own operational, security and business-continuity controls.

7. Charges, VAT and minimum term

Charges are those in the accepted order and exclude VAT. Unless the order says otherwise, subscriptions are invoiced monthly in advance and payable by Direct Debit or within 14 calendar days of invoice. The first monthly subscription payment is requested when we accept the order and before activation; later monthly payments are requested in advance for each service month.

Each tracker has a 12-month minimum term. The Customer may terminate for convenience during that term by giving at least 30 days’ written notice and paying an early-termination fee. The fee is the lower of (a) six months of the then-current subscription charges for the affected trackers or (b) 50% of the subscription charges that would otherwise fall due for the rest of their minimum term. Overdue charges and approved non-cancellable costs remain payable. The fee does not apply where the Customer validly terminates for an unremedied material breach by BoxSignal.io under section 13.

After the minimum term, the existing subscription and monthly payments continue until either party gives at least 30 days’ written notice. Continuing month to month does not itself entitle the Customer to a scheduled replacement tracker.

We may charge statutory interest and recovery costs on overdue business debts and may suspend affected services after reasonable notice where an undisputed invoice remains unpaid.

8. UK support

Standard support is provided by a UK-based team Monday to Friday, 09:00–17:30 UK time, excluding public holidays in England. Support covers setup, portal use, initial tracker and SIM diagnostics, supplier coordination and eligible replacement requests.

We aim to acknowledge support requests within one UK business day. This is a service target, not a guaranteed response or resolution time. A separate support schedule may be agreed for critical or out-of-hours operations.

9. Faults, renewal and replacement cover

If diagnostics confirm an eligible tracker fault during the minimum term, we will supply a replacement without a separate hardware charge. We may first ask the Customer to check placement, sunlight, installation, power state, signal conditions and portal settings.

Cover excludes loss, theft, deliberate damage, accidental or impact damage, water ingress caused by installation, unauthorised opening or modification, unsuitable chemicals, blocked solar charging and use outside the published specification. We may require the faulty unit to be returned. Non-returned or ineligible units may be charged at the then-current replacement price.

At the end of a tracker’s minimum term, the Customer may sign a new 12-month agreement for the affected subscription. Once Howat Ltd countersigns that agreement and the account is current, we will dispatch a scheduled replacement tracker without a separate hardware charge. The new minimum term begins on renewal activation.

If no new agreement is signed, no scheduled replacement is sent. The existing tracker service and monthly payments nevertheless continue until cancelled on at least 30 days’ written notice.

10. Portal, API and acceptable use

The Customer receives a limited, non-exclusive and non-transferable right to use the service for its internal business operations while subscriptions remain active. The Customer must not probe, overload, reverse engineer, resell or use the service to infringe another person’s rights.

Reasonable API limits and planned maintenance may apply. We may take immediate protective action against activity that threatens the service, networks, trackers or other customers.

11. Data protection and security

Each party will comply with applicable data-protection law. For Customer account data, Howat Ltd acts as controller as described in the BoxSignal.io privacy notice. Where we process container, location or user data solely on the Customer’s instructions, the Customer is controller and Howat Ltd is processor. A data-processing schedule will apply where required.

The Customer must not use the service for covert employee or individual monitoring and is responsible for notices, lawful bases and access controls relating to its people and assets.

12. Intellectual property and confidentiality

We and our licensors retain intellectual property in the service, software, portal, documentation, APIs and generic know-how. The Customer retains its business data. Each party will protect the other’s confidential information and use it only for the contract.

13. Suspension and termination

Either party may terminate for a material breach not remedied within 14 days after written notice, or immediately for insolvency where law permits. We may suspend the service where reasonably necessary for security, unlawful use, network protection or overdue undisputed charges.

On termination, access ends and outstanding charges become payable. We will make Customer data available for export for 30 days where reasonably practicable, after which it may be deleted in line with our retention process.

14. Warranties and liability

We will provide the service with reasonable skill and care. We do not guarantee uninterrupted coverage, exact positions, continuous solar charging, fault-free third-party networks or that the service will prevent loss, theft or delay.

Nothing excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot legally be excluded. Subject to that, neither party is liable for indirect or consequential loss or loss of profit, revenue, anticipated saving, goodwill or opportunity. Our total aggregate liability is limited to the charges paid or payable for the affected subscriptions in the 12 months before the event giving rise to the claim.

15. General and governing law

Neither party is liable for delay caused by events beyond its reasonable control if it gives notice and takes reasonable mitigation steps. A delay in enforcing a right is not a waiver. If a provision is unenforceable, the remainder continues. No third party may enforce the contract under the Contracts (Rights of Third Parties) Act 1999.

The contract and non-contractual obligations are governed by English law. The courts of England and Wales have exclusive jurisdiction. Contract notices may be sent to the addresses in the order confirmation and to hello@boxsignal.io.
